These Terms of Service (these "Terms") set out the conditions for using knot ai and its related websites, applications, APIs, and other features (collectively, the "Service") provided by Wolves LLC ("we," "us," or "our").
Article 1 (Application and Agreement)
- These Terms apply to everyone who uses the Service ("users" or "you").
- You must review and agree to these Terms and our Privacy Policy before using the Service.
- Any supplementary rules, guidelines, plan descriptions, and information shown on sign-up screens within the Service form part of these Terms. If they conflict, terms individually agreed at the time of purchase prevail, followed by the supplementary rules, and then these Terms.
Article 2 (The Service)
- The Service uses artificial intelligence models to generate images and other content from the text, images, and other data you submit, and is provided through a web interface or an API.
- The available models, features, number of generations, resolutions, retention periods, API rate limits, and other specifications are shown in each plan description or within the Service.
- Due to the nature of generative AI, the same input may produce different results. We do not guarantee that results will match your intent or will be accurate, complete, original, or fit for any particular purpose.
Article 3 (Eligibility and Accounts)
- If you are under 18, you may use the Service only with the consent of a parent or other legal guardian.
- You must keep your registration information accurate and up to date.
- You are responsible for keeping your password, API keys, and other credentials secure, and you must not transfer, lend, or share them with any third party. If you learn that your credentials have been leaked or misused, notify us immediately.
- Any activity under your account is treated as your own, except where it results from causes attributable to us.
Article 4 (Input Data)
- All rights to the text, images, instructions, and other data you submit to the Service ("Input Data") remain with you or the rightful owner.
- You confirm that you have the rights and permissions needed to submit Input Data to the Service and have it used for generation.
- You permit us and our service providers to copy, transform, transmit, and temporarily store Input Data to the extent necessary to provide and maintain the Service, prevent misuse, and improve quality.
- Before submitting personal information, confidential information, trade secrets, or any other information whose disclosure to third parties is restricted, you must obtain any necessary consent and implement appropriate safeguards.
Article 5 (Output Data and Intellectual Property)
- As between you and us, and to the extent permitted by applicable law, we claim no new rights in the data generated by the Service ("Output Data").
- We do not guarantee that Output Data is protected by copyright or any other right, that it does not infringe the rights of third parties, or that you can use it exclusively. Similar or identical Output Data may be generated for other users.
- Before publishing Output Data or using it commercially, you are responsible for checking copyright, trademark rights, portrait rights, rights of publicity, personal information, contractual restrictions, and other legal requirements.
- All rights in the Service, software, designs, trademarks, documentation, and related materials belong to us or their rightful owners. Except for the usage rights expressly granted, these Terms do not transfer any of these rights to you.
Article 6 (Prohibited Conduct)
When using the Service, you must not:
- Violate any law, public order or morals, these Terms, or any agreement with a third party
- Infringe the copyright, trademarks, trade secrets, portrait rights, privacy, or other rights of any third party
- Generate, possess, or share illegal or harmful sexual content, including content involving the sexual exploitation of children, or non-consensual sexual content
- Use the Service for discrimination, harassment, threats, promoting violence or self-harm, or any other purpose intended to cause serious harm to others
- Impersonate a real person, or create or distribute deepfakes or other misleading content involving a real person, without that person's consent
- Engage in fraud, phishing, the coordinated spread of disinformation, malware, or other wrongful conduct
- Share credentials, gain unauthorized access, exploit vulnerabilities, circumvent rate limits, or place an excessive load on the Service
- Except as permitted by law, reverse engineer the Service, extract models, scrape the Service, or collect data automatically primarily to train competing models
- Unjustly damage our reputation or that of any third party, or interfere with the operation of the Service
- Assist, encourage, or attempt any of the above
Article 7 (Fees and Credits)
- The Service offers the following plans: Free ($0/month), Starter ($19/month), Pro ($69/month), and Business ($199/month). All prices are in US dollars (USD).
- Each plan includes monthly credits: 100 credits per month for Free, 2,000 credits per month for Starter, 10,000 credits per month for Pro, and 40,000 credits per month for Business.
- Credits reset on each monthly refresh date, and unused credits do not roll over to the next month. For paid plans, the refresh date is your subscription renewal date. Credits are a unit for measuring your use of the Service and cannot be transferred to third parties, resold, exchanged for cash, or used outside the Service.
- The number of credits consumed for each model, output size, and other setting is shown before you run a generation.
- When you run out of credits, image generation stops until you upgrade to a higher plan or your credits refresh. There are no automatic top-ups or usage-based charges.
- You are responsible for any data or connection charges required to use the Service.
Article 8 (Payment)
- Payment for paid plans is made by credit card through Stripe.
- Each paid plan runs for one month from the date you subscribe and renews automatically every month on the same terms unless you cancel before your next renewal date.
- We charge the first month's fee when you subscribe to a paid plan and each following month's fee on your renewal date.
- If a payment is not completed, we may decline to start, or may suspend, your access to paid features.
- If we change future fees or credit terms, we will notify you within the Service or by email to your registered address before the change takes effect. New fees apply from the first renewal on or after the effective date stated in the notice, and you may cancel before they take effect.
Article 9 (Cancellation and Refunds)
- You can cancel a paid plan before your next renewal date by signing in and opening the Stripe Customer Portal from Billing. If you are unable to do so, please contact us through the contact form.
- When you cancel, all future auto-renewals stop, and you can keep using your paid plan until the end of the period you have already paid for.
- Even if you cancel partway through a subscription period, we generally do not provide prorated (daily or monthly) refunds when you cancel for personal reasons, or refunds for unused credits, except where required by law.
- Any credits remaining at the end of a subscription period expire and cannot be carried over to the next month or transferred to another account.
- Refund terms are set out in our Refund & Cancellation Policy.
Article 10 (Changes, Suspension, and Discontinuation of the Service)
- We may change all or part of the Service to improve features, maintain security, comply with laws, respond to changes in external services, or on other reasonable grounds.
- We may temporarily suspend the Service due to maintenance, outages, disasters, network failures, the suspension of third-party services, emergency security responses, or similar reasons. Where possible, we will give advance notice of significant planned interruptions.
- If we discontinue the Service, we will give you notice a reasonable period in advance, and any prepaid subscription period and unused credits will be handled in accordance with applicable law and our refund policy.
Article 11 (Usage Restrictions and Termination)
If you materially breach these Terms, if there is misuse or a security risk, if you fail to pay fees, or if we need to comply with laws or respond to requests from public authorities, we may, to the extent necessary and reasonable and without prior notice, stop generation, suspend your account, or take other measures. Where a breach can be remedied, we will give you an opportunity to remedy it whenever possible, unless the matter is urgent.
Article 12 (Third-Party Services)
The Service may use third-party services such as payment processing, cloud infrastructure, and AI models. Third-party services may be subject to their providers' own terms, and changes to or suspensions of those services beyond our reasonable control may affect the Service.
Article 13 (Scope of Warranties)
We provide the Service with reasonable care. However, to the extent permitted by applicable law, we do not warrant that the Service will always be available without interruption, that all defects will be corrected, that Output Data will be accurate, complete, or original, or that the Service will be fit for any particular purpose.
Article 14 (Limitation of Liability)
- If you suffer damages for reasons attributable to us, our liability is limited to ordinary and direct damages, up to the total fees you actually paid us during the 12 months before the damages occurred.
- The preceding paragraph does not apply to damages caused by our willful misconduct or gross negligence, to death or bodily injury, or where a limitation of liability is not permitted under Japan's Consumer Contract Act or other applicable laws.
Article 15 (Changes to These Terms)
We may amend these Terms where reasonable in light of the need for the change, the appropriateness of the amended terms, and other circumstances. We will notify you of changes that significantly affect you before they take effect, by posting a notice in the Service, emailing your registered address, or another appropriate method. Where the law requires your consent to a change, we will obtain it in the prescribed manner.
Article 16 (Notices)
We will send notices to you by posting them in the Service, emailing your registered address, or any other method we consider appropriate. You must ensure that your registered email address can receive messages at all times.
Article 17 (Assignment)
You may not assign, transfer, or pledge as security your status as a party to these Terms or any of your rights or obligations under them to any third party without our prior written consent.
Article 18 (Severability)
If any part of these Terms is held invalid or unenforceable under any law or regulation, the remaining provisions will continue in full force and effect.
Article 19 (Governing Law and Jurisdiction)
These Terms are governed by the laws of Japan. If a dispute arises regarding the Service or these Terms, you and we will first try to resolve it through good-faith discussion. If it cannot be resolved, the Tokyo District Court will have exclusive jurisdiction as the court of first instance, except where applicable law allows proceedings in another court.
